Eligibility Requirements *

All applicants must sign statements acknowledging that they have read, understand and will comply with all of the following eligibility requirements ("Eligibility") of "Baking Show" program (the "Program") in order to proceed with the application process: 1. Employees, officers, directors and agents of Cineflix (Girl Scouts) Inc. ("Producer"), Television Food Network, G.P. ("Food Network"), Scripps Networks, LLC, and their respective affiliates, subsidiaries, divisions, parent corporations, and joint venture partners (collectively with Producer and Food Network, the "Released Parties"), all Program advertising, promotional and judging agencies, Program broadcasters and distributors and all other companies associated with the production, administration and/or exhibition of the Program and/or any of their respective licensees, assigns, parents, affiliated and subsidiary companies, divisions, and joint ventures as well as (a) the immediate family (spouse, ex-spouse, mother, father, sister, brother, daughter or son, step-parents, step-children, step-siblings, regardless of where they live), and (b) members of the same households (whether related or not) of such employees, officers, directors and agents, are not eligible to be "Baking Show" or to participate in this application process. In addition, any applicant closely acquainted with any person connected with the production or administration or exhibition of the Program is not eligible if, in Food Network's sole discretion, the person's participation could create the appearance of impropriety. 2. Applications MUST be written clearly or typed 3. All applicants must be at least eighteen (18) years of age at the time of application. 4. Applicants may not presently be a candidate for any type of political office ("Candidate") and may not become a Candidate from the time the application is submitted until one (1) year after first broadcast of the last episode of the Program in which they appear. 5. All applicants must be United States citizens or resident aliens living in the United States with a legal right to live and work in the United States. 6. All applicants must be in excellent physical and mental health. 7. By applying for participation in the Program, you authorize Food Network and/or Producer to conduct civil, family court, criminal, financial, driver history and any other type of background check deemed necessary by Food Network and/or Producer. Food Network and/or Producer reserves the right to disqualify any applicant from further consideration based on the results of such background check in Producer and/or Food Network's sole discretion. 8. Applications will only be considered if they are complete. Complete applications shall consist of the following: • Completed Participant Application (including a Release and Waiver signed by you) 9. All applications (including all materials submitted in connection with each application or submitted as supplemental materials requested by Food Network) will not be returned and will become the property of Food Network, which shall have the sole and exclusive right to use the applications in any manner throughout the universe in perpetuity, as set forth in greater detail in the Release. 10. Only one (1) application per person will be accepted. Applicants who submit more than one (1) application may be disqualified. 11. From among all the completed applications Food Network and Producer receives, staff and consultants of Food Network and the Producers will evaluate each application on a number of subjective factors, all of which have the aim of determining which applicants are right for the program. 12. To become a Semi-Finalist or Finalist you must be willing to travel to New York City (at Food Network's expense), on the following approximate dates: (i) September 2019 (TBD - these dates are subject to change) for taping; and (iii) other selected dates for a media tour in connection with the Program's premiere and promotion of the Program. Food Network will furnish Finalists with economy class air transportation shared accommodation and all meals while in New York City. Applicants who will not be available for all of those dates will be disqualified. 14. When the Semi-Finalists/Finalists travel to New York City, they will participate in daily exercises to test their performance, level of skill, and knowledge of food and cooking. These daily exercises will entail long days (up to 12 hours or longer) in the kitchen, in front of television cameras. These daily exercises will be taped and used in connection with the Program. At all times when the Semi-Finalists/Finalists are in New York City, the Semi-Finalists/Finalists will be subject to the instructions, directives, and schedules dictated by Food Network and/or Producer; non-compliance with such instructions, directives, and schedules or any other conduct that is unacceptable to Food Network or the producers of the Program in their sole discretion will result in disqualification. 15. All applicants acknowledge and agree that if they are selected as one of the Semi-Finalists/Finalists and travel to New York City to appear in the Program, they will be required to enter into a release and agreement with Food Network and/or Producer prior to traveling to New York City that will (i) render applicant exclusive to Food Network for a pre-determined period of time (meaning that applicant would not, among other limitations, be able to appear on any other broadcast or cable television programming or make public appearances or publish a cookbook without Food Network's express written permission in each circumstance); (ii) give Food Network the option, at Food Network's sole election, to exercise the right to have applicant appear as a host, co-host, or contributor to Food Network programming or use applicant's name, image, and/or likeness in Food Network programming or in merchandising or in other ancillary media (including a cookbook), at a rate of compensation and in accordance with such terms and conditions that shall be determined by Food Network in its sole discretion; and (iii) limit the ability of applicant's ability to enter into commercial endorsements 16. Applicants will be ineligible if, as of the date hereof, they have any type of contract for talent representation (for example, a talent agent or manager), an acting contract, a television hosting contract, a merchandising agreement, or any other contractual arrangement that would prohibit applicant from entering into a talent contract, management contract and/or merchandising contract with Food Network. If you are selected as a Semi-Finalist/Finalist you will be required to provide evidence in a form that is satisfactory to Food Network in its sole discretion that any such agreements or contracts will not prohibit or limit in any way a Semi-Finalist's/Finalist’s obligations to Food Network, as set forth herein, and in accordance with such other directives of Food Network. 17. All applicants understand and acknowledge that participation in the Program, including, without limitation, the activities and events arranged by the Program coordinator (including, but not limited to, use of stoves, ovens, knives and other kitchen equipment) may expose applicant and other participants to the risk of death, serious injury, illness or disease and/or property damage. Applicants must be willing and able to participate in physical activities related to working and performing in a kitchen (including using stoves, ovens, knives, and other kitchen equipment), on location, on television sets, and the like. Applicants must sign a release attesting to the fact that the applicant understands and knowingly and willingly agrees to assume such risks. Applicants understand that by submitting this participant application (the "Participant Application"), applicants acknowledge that they accept and assume all risks known or unknown of any nature (including, without limitation, the foregoing) that may arise in any way from or relate to applicant's participation in the selection process for and/or participation in the Program. 18. Each applicant acknowledges, understands and agrees that Food Network and/or Producer may disclose any information contained within or derived from his or her application to third persons connected with the Program and to compile information from third parties in connection with such application and the application process about applicant's private, personal and public life; medical treatment/history (both physical and mental); educational and employment history; military history; criminal investigations, charges and records; personal views and opinions about life, food, cooking, television, the media, and the like (collectively, "Personal Information"). Applicant acknowledges and agrees that Food Network and/or Producer may reveal such Personal Information to third parties in the course of the application process and/or the Program and that Applicant releases, discharges, and holds harmless the Released Parties (as defined above) from any and all claims and damages arising from such compilation or disclosure of Personal Information. 19. Each applicant acknowledges, understands and agrees that he or she, if chosen as a Semi-Finalist/Finalist for the "Baking Show" and/or as one of the Finalists may be audio and/or videotaped twenty-four (24) hours a day, seven (7) days a week while participating in the Program whether or not he or she is then aware that he or she is being videotaped or recorded (collectively, "Recordings") and that such Recordings may be disseminated on television and/or all media now known or hereafter devised, in any and all manner throughout the Universe in perpetuity. 20. Applicants acknowledge, understand, and agree that the Released Parties' use or revelation of Personal Information and Recordings as defined in these Eligibility Requirements may be embarrassing, unfavorable, humiliating, and/or derogatory and/or may portray him or her in a false light. Each applicant agrees to release, discharge and hold harmless the Released Parties from any and all claims (including, without limitation, claims for slander, libel, defamation, violation of rights of privacy, publicity, personality, and/or civil rights, depiction in a false light, intentional or negligent infliction of emotional distress, copyright infringement, and/or any other tort and/or damages arising from or in any way relating to the submission of a Participant Application, participation in the selection process, participation in the Program, the use of the Personal Information or Recordings and/or the use of the applicant's name, voice, and/or likeness in connection with the Program, or the promotion thereof in all media now known or hereafter devised. Applicants are required to sign Releases to this effect. 21. Each applicant acknowledges and agrees that he or she is not and will under no circumstances as a result of the submission of a Participant Application, participation in the selection process, participation in the Program, the use of the Personal Information or Recordings and/or the use of the applicant's name, voice, and/or likeness in connection with the Program, the promotion thereof in all media now known or hereafter devised or for any other reason in connection with his or her application and/or participation in the Program become an employee or an independent contractor of the Producer and/or Released Parties and will not make any claims against Producer and/or Released Parties, including, without limitation, claims for compensation, derived from any allegation of status as an employee. Each applicant acknowledges and agrees that his or her relationship to Producer and/or Released Parties is and shall be limited solely to that of a grantor of rights. 22. Any applicant who has appeared on or is involved with any television program or other media must disclose such information in his or her application and may, at Producer's sole discretion, be deemed ineligible to participate in the Program. If any applicant is currently being considered as a contestant and/or participant in a television show, he/she must withdraw his/her application from such show upon Producer's request. 23. All applicants who are selected as Semi-Finalists/Finalists must complete and timely return the "Finalist Package," which may include, among other documents: a General Release and Indemnity Agreement; Confidentiality Agreement; and General Exclusivity Agreement (all forms will be furnished to the Finalists). By signing these documents, each Finalist will agree to assume the risk of any and all injury, illness, damage, loss, or harm to Finalist's person or property of any kind, howsoever caused, arising from or relating to the submission of a Participant Application, the selection of Semi-Finalist/Finalist, and/or Semi-Finalists’/Finalists' participation in the Program, and/or the production and/or exploitation of the Program. We reserve the right to ask any additional needed questions. 24. All applicants who are selected as Semi-Finalists/Finalists will be required to meet all physical and psychological requirements, as determined by Food Network and/or Producer. 25. Semi-Finalists and Finalists shall treat all information and materials received or acquired about Producer, Released Parties, the selection process and/or the Program, as strictly confidential and shall not disclose or otherwise disseminate any such information to any third party. Finalists must sign a Confidentiality Agreement in the form presented by Producer. 26. Upon Producer's request, all Semi-Finalists/Finalists, and the "Baking Show" winner must agree to sign any additional releases or authorizations that Producer, in its sole discretion, deems necessary. 27. Semi-Finalists and Finalists on the "Baking Show" must report and be available to participate in the Program at all times and places as Producer shall designate. 28. All decisions related to the selection of the Semi-Finalists/Finalists, and winner of "Baking Show", the application evaluation, and eligibility requirements, shall be subject to change at Producer and/or Food Network's sole discretion. Producer and/or Food Network reserves the right to disqualify an applicant at any time, to modify these requirements or any aspect of the Program as it deems necessary, and to cancel the production and development of the Program or any programming contemplated hereunder. SUBMISSION REQUIREMENTS: You must sign this form where indicated, and provide the following documents when submitting your application. Failure to do so will result in delaying the processing of your application and/or may result in eliminating you from further consideration: • One (1) legible photocopy of EITHER (a) your passport; OR (b) driver’s license; OR (c) social security card AND birth certificate I acknowledge that all the information provided on this questionnaire is true and accurate, and any false or misleading information submitted herein is grounds for my immediate elimination from consideration. This questionnaire and any other material submitted by me, including, but not limited to, pictures, film and videotapes, becomes the property of Food Network, shall not be returned and may be used in any manner in all media, worldwide, in perpetuity. I further understand that by submitting this questionnaire, Producer and/or Food Network has no obligation to accept me, and my selection and participation in "Baking Show" is in no way guaranteed, as it is merely for the purpose of evaluating potential participants. I warrant and represent that my responses regarding my level of culinary skill are accurate, truthful and to the best of my understanding. I hereby acknowledge and agree that if I am found to have misrepresented myself in order to gain an advantage in this competition or for other purpose(s), I may be liable for financial damages, including without limitation all costs and expenses incurred by Producer in connection with my participation in the Program. I acknowledge that I have read and fulfill the eligibility requirements and all the information provided on this questionnaire is true and accurate, and any false or misleading information submitted herein is grounds for my immediate elimination from consideration.

Release and Waiver

I hereby acknowledge that: (i) I understand, satisfy, and agree to be bound by, the eligibility requirements for “Baking Show” (the “Program”) and the instructions of Television Food Network, G.P. (“Food Network”), Cineflix (Girl Scouts) Inc. (“Producer”), and their employees, producers, and consultants; (ii) I have answered and will answer all questions posed to me honestly and accurately in connection with my application to appear on the Program; (iii) if any of the information that I have provided or will provide is found to be false or incomplete, it will be grounds for dismissal from the Program selection process and from participation in the Program; (iv) Food Network and Producer have no obligation to interview me or select me as a participant in the Program; (v) if Food Network cancels the Program, Food Network and Producer will have no obligation to me; (vi) Food Network and Producer shall have no obligation to air the Program; (vii) all decisions concerning the selection of the participants and all aspects of the Program shall be in the sole discretion of Food Network and Producer, are final, and not subject to challenge or appeal. By submitting my application, I hereby consent to the recording, use and reuse by Food Network and/or the Producers and/or any of their respective licensees, assigns, parents, agents, subsidiaries or affiliated entities (the “Releasees”) of my name, voice, likeness, and biographical material in any and all media whether no known or hereafter devised throughout the universe in perpetuity (collectively, “Likeness”) in any and all media now known or hereafter devised. I agree that the Releasees may use all or any part of my Likeness and may alter or modify it. I further agree that the Releasees shall exclusively own any application materials (videos, photographs, recipes, etc.) that I may have provided in connection with my application or for participation in the Program and any photos and video or recordings of any kind that Food Network and/or Producer will make of me in connection with the Program and my application (collectively, the “Materials”) and all rights therein and thereto including, without limitation, the right to use the Materials and my Likeness in any and all media now known or hereafter devised throughout the universe in perpetuity. I further agree that the Releasees may use my Likeness and the Materials in connection with any promotion, publicity, marketing or advertisement for the Program or any exploitation of the Program of any kind. I grant the rights hereunder whether or not I am selected to participate in the Program in any manner whatsoever. I release the Releasees from any and all liability arising out of their use of my Likeness and/or the Materials. I agree not to make any claim against the Releasees as a result of the recording or use of my Likeness and/or the Materials (including, without limitation, any claim that such use invades any right of privacy and/or publicity and any claims based on defamation or libel or false light). Without limiting the foregoing in any way, to the degree that the Materials include any musical or literary compositions in which I (partially or wholly) own, or to which I purport to (partially or wholly) own, the copyright or any publishing rights, I hereby grant to Food Network and Producer, and have the complete, unfettered right to grant to Food Network and Producer, an irrevocable, unlimited, perpetual, worldwide, royalty and payment-free license to use and reproduce such Materials in the Program and in connection with any promotion, publicity, marketing or advertisement for the Program or any exploitation of the Program of any kind, in any and all media now known or which may exist in the future. I understand that Food Network and Producer make no representation that such Materials will or will not be used in any way. I agree that any dispute between me and any of the Releasees in any way arising out of or related to this agreement, the Program, or any claim by me of any kind against the Releasees as well as any dispute as to the arbitrability of any such controversy or claim, shall be resolved solely by mandatory arbitration between us. In this regard, I further agree and acknowledge that: A. Arbitration shall be final and binding on the parties, and that judgment thereon may be entered in any court of competent jurisdiction; B. Any Arbitration pursuant to this agreement shall be conducted in New York, New York before a single arbitrator familiar with the television industry and pursuant to the American Arbitration Association’s (“AAA”) commercial arbitration rules; C. I and the Releasees are waiving their right to seek remedies in court, including the right to a jury trial; D. If it is determined by the Arbitrator that any of the Releasees is financially liable to me in connection with the Program, the Materials or my Likeness, or any part thereof, or other materials submitted to Food Network and/or Producer, including but not limited to copyright or trademark rights, I agree that the sole remedy that can be awarded in any Arbitration against the Releasees shall be a monetary award in the amount that Food Network and/or Producer has paid for a similar use of comparable materials or performance, (or, if Food Network and/or Producer has not previously paid for similar use, an amount equal to a standard fee in the cable television industry for such material or performance) and I expressly waive any right to any other form of relief, including but not limited to injunctive relief, any form of punitive damages and/or any alternate calculation of damages; E. The prevailing party in any Arbitration pursuant to this agreement will be entitled to recover its costs and expenses, including reasonable attorneys’ fees and experts’ fees, which may be incurred in connection with such Arbitration; and F. By signing this agreement I acknowledge that I am agreeing in advance to arbitrate any controversies or claims which may arise with the Releasees. G. I further agree that the arbitration proceedings, testimony, discovery and documents filed in the course of such proceedings, including the fact that the arbitration is being conducted, will be treated as confidential and will not be disclosed to any third party to such proceedings. This agreement, including but not limited to the mandatory arbitration provision, shall inure to the benefit of the parties hereto and their respective heirs, successors, representatives, assigns and licensees. Food Network and/or Producer may assign this agreement to any of its parent, subsidiary or affiliated companies. I hereby agree that have read and understand this agreement and that no oral representations of any kind have been made to me, and that this agreement states our entire understanding with reference to the subject matter hereof. Any modification or waiver of any of the provisions of this agreement must be in writing and signed by both of us. Should any provision or part of any provision be void or unenforceable, such provision or part thereof shall be deemed omitted, and this agreement with such provision or part thereof omitted, shall remain in full force and effect. This agreement shall at all times be construed so as to carry out the purpose hereof.
